Terms & Conditions

These Terms & Conditions govern your use of the Sprouto website and the services provided by Sprouto. By using our website or engaging our services, you agree to these terms.

1. Introduction

Sprouto provides technology services including AI development, software development, UI/UX design, product development, automation, and related services.

Specific services, deliverables, timelines, and fees may vary depending on the selected service or subscription plan.

2. Our Services

Services are provided according to the scope agreed between Sprouto and the client.

For subscription services, the available team capacity, active tasks, delivery timelines, and included services depend on the selected subscription plan.

Sprouto may use third-party tools, platforms, APIs, and technologies where required to deliver the services.

3. Subscriptions & Payments

Subscription fees are charged according to the agreed plan and billing cycle.

Unless otherwise agreed:

  • Subscription fees are payable in advance.
  • Fees are exclusive of applicable taxes.
  • Subscription access begins once payment has been received.
  • Unused capacity or work does not carry over between billing periods unless agreed in writing.
  • Additional services outside the agreed scope may incur additional fees.

4. Project Scope & Delivery

Estimated timelines and costs are provided for planning purposes and may change as requirements become clearer.

Changes requested after work has started may affect delivery dates, costs, project scope or subscription terms.

5. Client Responsibilities

Clients are responsible for providing accurate information, content, assets, access, approvals, and feedback required for delivery.

Delays caused by missing information, approvals, access, or client dependencies may affect delivery timelines.

6. Intellectual Property

Unless otherwise agreed in writing, intellectual property ownership and usage rights for custom work will be defined in the applicable project agreement or statement of work.

Third-party software, libraries, APIs, fonts, assets, and platforms remain subject to their respective licences and terms.

7. Confidentiality

Both parties agree to keep confidential information received during the course of the engagement confidential and to use it only for purposes related to the services.

8. Third-Party Services

Some projects may depend on third-party platforms, hosting providers, APIs, software, or AI models.

Sprouto is not responsible for outages, changes, pricing, limitations, or failures caused by third-party providers.

9. AI Services

AI-powered services may produce inaccurate, incomplete, or unexpected results.

Clients are responsible for reviewing AI-generated outputs before using them for consequential decisions or public-facing purposes.

10. Cancellation & Termination

Cancellation terms depend on the applicable subscription or service agreement.

Any outstanding fees for completed work or services already provided remain payable.

Sprouto may suspend or terminate services where payments are overdue, the client materially breaches these terms, or continued service would create legal or security concerns.

11. Website Use

You agree not to misuse the Sprouto website, attempt to gain unauthorised access, interfere with its operation, or use its content for unlawful purposes.

12. Limitation of Liability

To the extent permitted by law, Sprouto will not be liable for indirect, incidental, consequential, or unforeseeable losses arising from the use of our services or website.

Nothing in these terms excludes liability that cannot legally be excluded.
